1. About Our Services

RENest Inc. (“RENest,” “we,” “us,” or “our”) offers a platform that connects property buyers, sellers, agents, brokers, landlords, and tenants. Our Services enable you to:

• Search, view, and save residential and commercial property listings.
• Communicate securely with other Users and real estate professionals.
• Access market data, comparables, disclosures and any other real estate data.
• Receive alerts, and manage leads.

We continually improve and expand our Services, including integrations with financing partners, and analytics tools.

2. Privacy Policy And User Data

Your privacy matters. Our Privacy Policy describes how we collect, use, share, and protect your personal information. By using our Services, you consent to our data practices as outlined in the Privacy Policy.

3. Acceptable Use Of Our Services

3.1 Compliance

You agree to use our Services in accordance with these Terms, all applicable U.S. laws, and posted policies. Unauthorized or illegal use is prohibited.

3.2 Prohibited Conduct

You must not:

• Post unlawful, abusive, defamatory, or infringing Content.

You retain all rights to the Content you submit (e.g., listings, comments). By providing Content, you grant RENest a worldwide, royalty‑free, sublicensable license to use, reproduce, modify, and display it to operate and improve the Services.

5.2 RENest’s Rights

All intellectual property in our Services—software, logos, designs, documentation—belongs to RENest or its licensors. You may not copy, reverse engineer, or distribute our proprietary materials without permission.

5.3 License Grant to You

Subject to these Terms, RENest grants you a limited, revocable, non‑exclusive license to install and use the App and access the Services for personal or business purposes.

6. Reporting Third-Party Copyright, Trademark, And Other Intellectual Property Infringement

If you believe your copyright, trademark, or other intellectual property rights have been infringed, please submit a report to our designated agent at:

Include:

• Identification of the infringed work.
• Location of the infringing material on RENest.
• Your contact information and a statement of good‑faith belief.
• A signed declaration under penalty of perjury.

7. Disclaimers And Release

YOU USE THE SERVICES AT YOUR OWN RISK. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT. WE DO NOT GUARANTEE ACCURACY OR COMPLETENESS OF LISTINGS OR DATA.

8. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENEST AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA LOSS. OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU ACTUALLY PAID US IN THE SIX MONTHS BEFORE THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless RENest and its affiliates from any claims, liabilities, losses, or expenses (including attorneys’ fees) arising out of:

• Your breach of these Terms.
• Your use of the Services.
• Your violation of any rights of third parties or applicable laws.

10. Dispute Resolution

10.1 Forum And Venue

You and RENest agree that any dispute will be resolved exclusively in the state or federal courts located in Alameda County, California, and you consent to personal jurisdiction there.

10.2 Governing Law

California law governs these Terms, without regard to conflict‑of‑law principles.

11. Availability Of Our Services

We may modify, suspend, or discontinue all or part of the Services at any time, for any reason. We are not liable for any disruption or loss of functionality.

12. Other

Entire Agreement: These Terms and any incorporated policies constitute the entire agreement.
Amendments: We may update these Terms; material changes will be communicated. Continued use implies acceptance.
Assignment: We may assign our rights; you cannot transfer your rights without consent.
Severability: If any provision is invalid, the remainder stands.
Waiver: Failure to enforce a right is not a waiver.
Export Compliance: You will comply with all applicable U.S. export laws.
Language: The English version controls.

13. Special Arbitration Provision

PLEASE READ—THIS SECTION AFFECTS YOUR RIGHTS.
Scope: You and RENest agree to resolve disputes by binding individual arbitration under the American Arbitration Association Commercial Arbitration Rules. You waive any right to a trial by jury or to participate in class actions.
Excluded Dispute: Intellectual property disputes and injunctive relief claims are excluded and may be brought in court.
Opt-Out: To opt out, send email to: info@renest.com within 30 days of first acceptance of these Terms, including your name, account email, and a statement of intent to opt out.
Small Claims: You may choose small claims court instead of arbitration if eligible.
Fees: Arbitration fees will follow AAA rules, with certain consumer protections for you.
Survival: This provision survives termination of these Terms.
